Electronic contracts and communications are recognised under Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services (the “Electronic Transactions Law”). Where the firm communicates with you electronically in connection with a formal engagement, the provisions of the Electronic Transactions Law and the applicable engagement agreement will govern the legal effect of such communications.
If you subscribe to any email updates, newsletters, or alerts issued by the firm, you may unsubscribe at any time by following the instructions contained in each such communication or by contacting the firm directly. The firm will action unsubscribe requests within a reasonable time in accordance with applicable law.
In the UAE, all legal consultants are subject to the professional conduct rules and ethical obligations imposed by UAE laws and any applicable resolutions of the UAE Ministry of Justice. These obligations include, without limitation, duties of confidentiality, avoidance of conflicts of interest, independence, honesty, and integrity.
The firm maintains policies and procedures for identifying and managing conflicts of interest in accordance with the Code of Ethics. Before accepting any new instruction, the firm conducts a conflict check. Where a conflict of interest is identified that cannot be appropriately managed, the firm will decline to act or take such other steps as are required by applicable professional rules, without liability to the prospective client.

The firm’s fees reflect the nature and complexity of the matter, the seniority and expertise of the consultants engaged, the time required, and the value of the services to the client. The firm will provide a fee estimate or range prior to commencing work and will endeavour to notify the client promptly if it appears that an estimate is likely to be materially exceeded.
Disbursements incurred in connection with a matter including filing fees, translation costs, third-party expert fees, travel expenses, and other out-of-pocket costs are payable by the client in addition to professional fees, unless otherwise agreed in writing. All fees and disbursements are quoted exclusive of applicable taxes and levies.
The firm’s full terms of engagement, including billing procedures, payment terms, termination provisions, and any limitation of liability applicable to client engagements, are set out in the firm’s standard terms of engagement and in the applicable engagement agreement. Those terms govern all client engagements and take precedence over these website Terms to the extent of any inconsistency.
Nedelcu & Co is committed to providing high-quality legal services. If you have a concern or complaint about any aspect of the firm’s services or conduct, you are encouraged to raise it using the contact details set out in Section 16.
The firm will acknowledge receipt of a written complaint within five business days and will endeavour to investigate and respond substantively within thirty days of receipt. Where a complaint cannot be resolved within that period, the firm will provide you with an interim update and an expected timeline for resolution.
If you are not satisfied with the firm’s response to a complaint, you may have the right to refer the matter to the relevant free zone authority or another competent regulatory body. The firm will provide information on available escalation routes upon request.
Nedelcu & Co reserves the right to amend, update, or replace these Terms and Conditions at any time and at its sole discretion, without prior notice to users. Amendments may be made to reflect changes in applicable law, regulatory requirements, the firm’s practice, or this website’s functionality and content.
The most current version of these Terms will be published on this website and will bear the updated effective date. Your continued use of this website following publication of any revised Terms constitutes your acceptance of the amended Terms in full. You are responsible for reviewing these Terms periodically. If you do not agree to any amended Terms, your sole remedy is to cease using this website.
If any provision of these Terms is held by a competent court or authority to be unlawful, void, or unenforceable under UAE law, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
These Terms constitute the entire agreement between you and Nedelcu & Co with respect to your use of this website and supersede all prior agreements, representations, and understandings in that regard. They do not affect any separate engagement agreement between you and the firm.
These Terms and Conditions, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and, to the extent applicable, the laws and regulations of the Emirate of Fujairah and the Fujairah Creative City Free Zone.
Any dispute, controversy, claim, or difference arising out of or in connection with these Terms, including any question concerning their existence, validity, interpretation, performance, breach, termination, or enforceability, shall be finally resolved by arbitration under the Rules of Arbitration of the Dubai International Arbitration Centre (DIAC), which Rules are deemed incorporated by reference into this clause.
The seat of arbitration shall be Dubai, United Arab Emirates. The arbitration shall be conducted in the English language. The tribunal shall consist of one arbitrator, unless the parties agree otherwise in writing or DIAC determines that three arbitrators are appropriate. The governing law of these Terms shall be the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai, as applicable.
These Terms are drafted in the English language. In the event of any conflict or inconsistency between the English version and any Arabic translation, the English version shall prevail to the fullest extent permitted by applicable UAE law. Where Arabic is required by law to prevail, the Arabic version shall take precedence only to the extent mandated.
